Sanctions Clause

The Buyer (or Distributor as the case may be) warrants it is not subject to sanctions by the European Union or the United States or any other applicable jurisdiction, and also that it is not owned or controlled by a party subject to such sanctions. The Buyer (Distributor) also warrants it will not sell, re-export or otherwise transfer or distribute the Seller’s products, directly or indirectly, to Russia, Belarus, Iran or North Korea, or to any other country, person or entity in breach of any applicable sanctions including always sanctions by the European Union and the United States, or to any person which the Buyer (or Distributor) have reason to believe will re-export or transfer the Seller’s products to Russia, Belarus, Iran or North Korea The Buyer (Distributor) shall be liable for all losses and damage sustained by the Seller as a result of the Buyer’s (Distributor’s) non-compliance with this clause in which case the Seller will also be entitled to immediately withdraw from the contract and claim damages.
